Where Customers submit reviews, testimonials, photographs or other content to Löyly, the Customer grants Löyly a non-exclusive, royalty-free licence to use, reproduce and publish that content for marketing and promotional purposes. Löyly will not knowingly publish personal information beyond that reasonably required to identify testimonials unless consent has been provided. Customers may withdraw permission for future promotional use by contacting Löyly in writing, however previously published material may not always be capable of removal.

Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Löyly, its directors, officers, employees, contractors and agents against any claims, losses, liabilities, costs or expenses arising directly or indirectly from: your breach of these Terms and Conditions; your misuse of our Products; your negligent or unlawful acts; damage caused by unauthorised modifications to the Product; your infringement of any third-party rights. This indemnity does not apply to the extent that any loss results from Löyly's negligence or breach of law.

Limitation of Liability

Nothing in these Terms excludes or limits any rights or remedies that cannot lawfully be excluded under the Australian Consumer Law. Subject to those non-excludable rights, Löyly's liability is limited, at our option, to: repairing the Product; replacing the Product; supplying equivalent goods; paying the reasonable cost of repair or replacement; re-supplying affected services. To the maximum extent permitted by law, Löyly excludes liability for indirect, incidental, consequential or special loss or damage, including loss of profits, loss of opportunity or business interruption.

Assignment

Löyly may assign or transfer its rights and obligations under these Terms and Conditions without prior notice to the Customer. Customers may not assign their rights or obligations without Löyly's written consent.

Severability

If any provision of these Terms and Conditions is held to be invalid, illegal or unenforceable, that provision will be severed to the minimum extent necessary. The remaining provisions will continue in full force and effect.

Waiver

A failure or delay by Löyly to exercise any right under these Terms and Conditions does not constitute a waiver of that right. Any waiver must be in writing and signed by an authorised representative of Löyly.

Entire Agreement

These Terms and Conditions, together with any quotation, invoice, warranty documentation and any policies expressly incorporated by reference, constitute the entire agreement between Löyly and the Customer regarding the purchase of Products and Services. They replace all previous discussions, negotiations, representations and understandings relating to the subject matter.

Variations

Löyly may amend these Terms and Conditions from time to time. Updated Terms and Conditions will be published on our website and will apply to future orders placed after the effective date of publication. Orders already accepted by Löyly will generally continue to be governed by the Terms and Conditions in force at the time the order was accepted, unless otherwise agreed by the parties or required by law.

Governing Law

These Terms and Conditions are governed by the laws of the State of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Queensland and any courts competent to hear appeals from those courts.
